Acceptance of Terms

Welcome to Roomrr, operated by Roomrr Connect Private Limited ("Roomrr," "we," "our," or "us"). These Terms of Service ("Terms") constitute a legally binding agreement between you and Roomrr governing your access to and use of our website, mobile application, and related services (collectively, the "Platform").

By registering for an account, accessing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

Eligibility

To use Roomrr, you must meet all of the following eligibility requirements:

• You must be at least 16 years of age to create an account and use the Platform. Users under the age of 18 may only use the Platform with the consent of a parent or legal guardian where required by applicable law. Roomrr reserves the right to restrict certain features, services, transactions, listings, or payment-related functionality for users under 18.
• You must be legally permitted to use the Platform and participate in any activity you undertake through the Platform under applicable law.
• You must have the legal capacity to enter into these Terms or otherwise use the Platform in accordance with applicable law.
• You must not have been previously suspended or banned from the Platform.
• You must not be prohibited from using the Platform under any applicable law.

By using the Platform, you represent and warrant that you meet all eligibility requirements. Roomrr reserves the right to verify your eligibility at any time and to refuse or revoke access if requirements are not met.

Your Account

To access most features of the Platform, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information about yourself.
• Keep your account information up to date at all times.
• Maintain the confidentiality of your login credentials and not share them with any third party.
• Be solely responsible for all activity that occurs under your account.
• Notify us immediately at support@roomrr.com if you suspect any unauthorised access to your account.
• Use only one account per person — creating multiple accounts is prohibited.

Roomrr may require identity verification, document verification, address verification, phone verification, or other authentication measures at any time. Failure to complete such verification may result in restricted access, suspension, or termination of the account.

Electronic communications: By creating an account or using the Platform, you consent to receive communications from Roomrr electronically, including by email, SMS, WhatsApp, push notifications, and in-app messages. Such communications may include account notifications, security alerts, legal notices, transactional updates, and service-related announcements. You agree that electronic communications satisfy any legal requirement that such communications be provided in writing.

Roomrr reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in activity that harms other users or the Platform.

Platform Use

Roomrr grants you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose: finding compatible roommates and rental accommodation in India. You may use the Platform to:

• Create and manage a personal profile for roommate-matching purposes.
• Complete our compatibility quiz and receive match suggestions.
• Browse, search, and connect with other verified users.
• Certain Features for Adults Only: Property listing, brokerage participation, payment processing, rental transactions, and certain transaction-related features may be restricted to users aged 18 years or older.
• Communicate with matches through our in-app messaging system.
• Access resources, guides, and tools provided by Roomrr.

This licence is intended primarily for personal use. Commercial use, bulk listings, unauthorised brokerage operations, property management activities, or other business purposes require Roomrr's prior written consent or participation in an approved business program offered by Roomrr. Nothing in these Terms creates any partnership, joint venture, agency, employment, fiduciary, or franchise relationship between you and Roomrr unless expressly agreed in writing.

Prohibited Conduct

The following conduct is strictly prohibited on the Platform. Violation may result in immediate account termination and legal action:

• Fraud & Misrepresentation: Creating a false profile, impersonating another person, or providing fraudulent information.
• Harassment & Abuse: Harassing, threatening, intimidating, stalking, or engaging in abusive behaviour toward any user.
• Discrimination: Refusing to connect with or discriminating against users based on religion, caste, race, gender, sexual orientation, disability, or any other protected characteristic.
• Fair Housing & Equal Access: Users may not post listings, profiles, advertisements, requirements, or communications that unlawfully discriminate against individuals based on protected characteristics under applicable law. Roomrr reserves the right to remove, edit, restrict, reject, or suspend any content that it reasonably believes promotes unlawful discrimination.
• Illegal Activity: Using the Platform to facilitate any activity that violates Indian law, including the Indian Penal Code, IT Act 2000, or POCSO Act.
• Spam & Solicitation: Sending unsolicited messages, chain letters, advertisements, or soliciting money from other users.
• Scraping & Automation: Using bots, scripts, or automated tools to access, scrape, or harvest data from the Platform.
• Fake Listings: Posting property listings that do not exist, are unavailable, or that you are not authorised to list.
• Off-Platform Payments: Requesting or making payments outside the Platform to circumvent our fee structure in a way that harms other users.
• Malware & Attacks: Uploading malicious code, attempting to breach our security, or disrupting Platform services.
• Children Under 16: Attempting to create accounts for, communicate with, solicit, match with, or otherwise engage with individuals known or reasonably believed to be under the age of 16 through the Platform.
• Investigations & Cooperation with Authorities: Roomrr reserves the right to investigate suspected violations of these Terms and may cooperate with law enforcement authorities, regulators, courts, and government agencies as permitted by applicable law.

User Content

When you submit content to the Platform — including profile photos, bios, property descriptions, messages, and quiz responses — you retain ownership of that content. However, by submitting content you grant Roomrr a worldwide, royalty-free, non-exclusive, sublicensable licence to use, display, reproduce, and distribute that content solely for the purpose of operating, maintaining, improving, promoting, securing, moderating, analysing, marketing, and developing the Platform and related services. This licence continues for as long as necessary to operate the Platform, comply with legal obligations, resolve disputes, enforce agreements, and maintain backup or archival copies.

You represent and warrant that:

• You own or have the right to submit all content you provide.
• Your content does not infringe any third-party intellectual property, privacy, or other rights.
• Your content does not contain defamatory, obscene, hateful, or illegal material.
• Profile photos accurately represent you and are not of another person without their consent.

Roomrr reserves the right to remove any content that violates these Terms or that we determine, at our sole discretion, to be inappropriate. We do not pre-screen all user content but may review and moderate content upon receipt of complaints.

Matching & Listings

Our compatibility algorithm generates match suggestions based on your profile data and quiz responses. You understand and agree that:

• Match suggestions are generated algorithmically and do not constitute a guarantee of compatibility, safety, or suitability.
• Roomrr does not conduct criminal background checks beyond identity verification unless explicitly stated.
• You are solely responsible for independently verifying the identity, suitability, and trustworthiness of any person you choose to live with.
• Except where expressly stated in writing, Roomrr is not a party to any lease, tenancy agreement, roommate agreement, or accommodation arrangement.
• Property listings are provided by users and homeowners. Roomrr does not own, manage, inspect, or guarantee any listed property.
• Roomrr does not guarantee that any listing, roommate match, inquiry, booking, tenancy, rental arrangement, or transaction will result in a successful accommodation arrangement. Availability, pricing, occupancy status, and rental terms may change without notice.
• Roomrr does not inspect, verify, certify, endorse, or guarantee the legality, ownership, condition, habitability, safety, availability, pricing, suitability, or accuracy of any property listing or information provided by users.
• Roomrr may use automated systems, algorithms, artificial intelligence, and machine learning technologies to generate compatibility scores, rankings, recommendations, and match suggestions. Such outputs are informational only and do not constitute guarantees of compatibility, safety, suitability, or future outcomes.
• Roomrr reserves the right, but is not obligated, to review, reject, suspend, edit, remove, or restrict any property listing, profile, advertisement, or content at its sole discretion.
• Student Status Disclaimer: Roomrr does not verify whether any user is enrolled in, affiliated with, or attending a particular educational institution unless expressly stated. Users are responsible for independently verifying student status, identity, and suitability before entering into any accommodation arrangement.

Safety, Verification & User Responsibility

• No Responsibility for User Conduct: Roomrr does not verify the truthfulness, accuracy, legality, or completeness of user profiles, listings, messages, references, documents, photographs, reviews, or other user-generated content. Users interact with one another entirely at their own risk. Roomrr shall not be liable for any acts, omissions, negligence, misconduct, criminal activity, fraud, assault, harassment, theft, property damage, personal injury, death, or other conduct of any user, whether occurring online or offline.
• Assumption of Risk: By using the Platform, you acknowledge that meeting new individuals, sharing accommodation, entering rental arrangements, and exchanging personal information involve inherent risks. You voluntarily assume all such risks and release Roomrr from liability arising from interactions with other users, property owners, tenants, or third parties. Roomrr is not responsible for losses arising from scams, fraudulent listings, forged documents, identity theft, payment fraud, misrepresentations, or deceptive conduct by users or third parties.
• Identity Verification Disclaimer: Any identity verification, profile verification, document verification, or similar checks conducted by Roomrr are limited in scope and should not be relied upon as a guarantee of a user's identity, character, criminal history, reputation, financial standing, intentions, or suitability as a roommate, tenant, landlord, or property owner.
• User Due Diligence: Users are solely responsible for conducting their own due diligence before entering into any housing, roommate, rental, tenancy, payment, or accommodation arrangement. This includes verifying identities, inspecting properties, reviewing documentation, assessing compatibility, and obtaining independent legal, financial, or professional advice where appropriate.

Payments & Fees

Roomrr currently offers free access during its beta phase. When paid features are introduced, the following terms will apply:

• Subscription Fees: Premium features will be available on a subscription basis. Pricing will be clearly disclosed before purchase.
• Early Bird Users: Eligible early users may receive access to designated premium features at no cost for as long as such features remain available in substantially similar form and the user remains compliant with these Terms.
• Payment Processing: Payments are processed by third-party providers (Razorpay / Stripe). By making a payment, you also agree to their terms of service.
• Refunds: Subscriptions are non-refundable except where required by Indian consumer protection law. If you believe you are entitled to a refund, contact support@roomrr.com within 7 days of the charge.
• Taxes: All fees are exclusive of applicable GST and other taxes, which will be added at checkout as required by law.
• Chargebacks: Initiating a fraudulent chargeback may result in account suspension.
• Right to modify pricing: Roomrr reserves the right to modify subscription fees, premium features, service charges, promotional offers, and pricing structures at any time, subject to applicable law.
• Brokerage: Any brokerage fees, service charges, commissions, convenience fees, or platform fees paid to Roomrr shall be deemed earned upon completion of the applicable service milestone unless otherwise stated, and are non-refundable except where required by applicable law.

Intellectual Property

All content, design, code, trademarks, logos, and other materials on the Platform that are not user-submitted content are the exclusive intellectual property of Roomrr Connect Private Limited or our licensors, protected under the Copyright Act 1957 and other applicable Indian and international laws.

• The "Roomrr" name, logo, and brand identity are trademarks of Roomrr Connect Private Limited.
• You may not copy, reproduce, modify, distribute, or create derivative works from our intellectual property without prior written consent.
• Linking to the Platform from your own website is permitted provided you do not misrepresent your relationship with Roomrr.
• Any feedback or suggestions you provide to Roomrr may be used by us without obligation to compensate you.
• You may not reverse engineer, decompile, disassemble, scrape, copy, reproduce, extract, or attempt to derive the source code, algorithms, databases, matching methodologies, or proprietary systems used by Roomrr.
• Except for the limited licence expressly granted under these Terms, Roomrr reserves all rights, title, and interests in and to the Platform and its intellectual property.

Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. ROOMRR SPECIFICALLY DISCLAIMS:

• Any warranty that the Platform will be uninterrupted, error-free, or free of viruses or harmful components.
• Any warranty regarding the accuracy, reliability, or completeness of any content on the Platform, including user profiles and property listings.
• Any warranty that matches produced by our algorithm will result in compatible, safe, or satisfactory living arrangements.
• Any responsibility for the conduct of users, whether online or offline.
• Any responsibility for disputes between users, including disputes regarding tenancy, rent, or property condition.

Roomrr operates as a technology-enabled housing platform and may facilitate property discovery, tenant acquisition, roommate matching, and brokerage-related services. Unless expressly stated otherwise, Roomrr is not a party to any lease or tenancy agreement.

Roomrr does not guarantee continuous, uninterrupted, secure, or error-free operation of the Platform. Roomrr reserves the right to modify, suspend, restrict, discontinue, or remove any feature, service, functionality, or content at any time without prior notice or liability.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, ROOMRR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

In no event shall Roomrr's total cumulative liability to you exceed the amount you paid to Roomrr in the twelve (12) months preceding the claim, or ₹1,000 (Indian Rupees one thousand), whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless Roomrr Connect Private Limited, its affiliates, directors, officers, employees, agents, contractors, and partners from and against any claims, liabilities, damages, losses, costs, expenses, penalties, and reasonable legal fees arising out of or related to:

• Your use of the Platform;
• Your violation of these Terms;
• Your interactions with other users;
• Any property listing, rental arrangement, roommate arrangement, tenancy, or transaction involving you;
• Any content submitted by you;
• Your violation of applicable laws or third-party rights.

Force Majeure

Roomrr shall not be liable for any delay, interruption, failure, or inability to perform its obligations due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, acts of government, war, terrorism, civil unrest, labour disputes, internet outages, cyberattacks, power failures, or failures of third-party service providers.

Termination

Either party may terminate the relationship governed by these Terms at any time.

• By You: You may delete your account at any time through your account settings. Deletion requests are processed within 30 days as described in our Privacy Policy.
• By Roomrr: Roomrr may suspend, restrict, or terminate any account, listing, transaction, or access to the Platform, with or without notice, and with or without cause, at its sole discretion, to the maximum extent permitted by applicable law.
• Effect of Termination: Upon termination, provisions that by their nature should survive termination, including User Content, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Force Majeure, and Dispute Resolution, shall survive.
• Data Retention: Roomrr may retain certain information following account termination where required by law, for fraud prevention, dispute resolution, enforcement of these Terms, record-keeping, or legitimate business purposes.

Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

• Informal Resolution First: Before filing any legal claim, you agree to contact us at legal@roomrr.com and attempt to resolve the dispute informally for at least 30 days.
• Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996 (India). Arbitration shall be conducted in Bengaluru, Karnataka, India, in the English language by a sole arbitrator appointed in accordance with the Arbitration and Conciliation Act, 1996. The arbitral award shall be final and binding on all parties. Each party shall bear its own legal fees and expenses unless otherwise determined by the arbitrator.
• Jurisdiction: For disputes not subject to arbitration, you submit to the exclusive jurisdiction of the courts of Bengaluru, Karnataka, India.
• Class Action Waiver: You agree to resolve disputes with Roomrr on an individual basis and waive any right to bring or participate in any class, collective, or representative action.
• Consumer Rights: Nothing in this section limits your statutory rights as a consumer under applicable Indian consumer protection laws.
• One-Year Claim: To the extent permitted by applicable law, any claim arising out of or relating to the Platform must be brought within one (1) year after the event giving rise to the claim, failing which such claim shall be permanently barred.

Changes to Terms

Roomrr may update these Terms from time to time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page.
• Send an email notification to registered users at least 14 days before changes take effect.
• Display a prominent in-app notice for active users.

Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and delete your account.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver

Roomrr's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights under these Terms.

Assignment

You may not assign, transfer, or delegate any rights or obligations under these Terms without Roomrr's prior written consent. Roomrr may assign or transfer these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, or operation of the Platform.

Entire Agreement

These Terms, together with the Privacy Policy and any policies incorporated by reference, constitute the entire agreement between you and Roomrr regarding the Platform and supersede all prior agreements, understandings, and communications relating to the Platform.
